Terms of Service

1. Agreement to these terms

By creating an account, purchasing a ticket, or otherwise using FUNC (the "Platform"), you agree to these Terms of Service, our Privacy Policy, our Refund Policy, and, where applicable, the Buyer Agreement and Organizer Agreement. If you do not agree, do not use the Platform. FUNC is operated by FUNC ("FUNC", "we", "us").

2. Who we are

FUNC is a technology platform that provides ticketing, check-in, promoter tools, resale, and communications for live events. FUNC is not the merchant of record for events, is not the event organizer, and is not the seller of tickets. Tickets are issued and sold by the event organizer. FUNC acts as a limited payment facilitator on behalf of organizers through Stripe Connect.

3. Accounts and eligibility

You must be at least 13 years old to create an account and 18 or the age of majority in your jurisdiction to enter contracts as an organizer or promoter. You are responsible for keeping your login credentials secure and for all activity under your account. Email verification is required before purchasing tickets. Guest checkout is available; guest orders can later be claimed by signing up with the same email.

4. Ticket purchases

All payments are processed by Stripe. When you purchase a ticket, you are entering into a contract with the event organizer, not FUNC. Tickets are personal and revocable licenses to attend an event, subject to the organizer's terms and the venue's rules. FUNC issues each ticket as a dynamic, short-lived QR code that rotates every 60 seconds to prevent screenshot fraud. Screenshotted, printed, or duplicated QR codes may fail to scan.

5. Fees

FUNC charges the following fees, which may change with notice:

• Primary sales: 15% platform fee plus Stripe payment processing (typically 2.9% + $0.30) are always passed to the buyer as a separate "Service fee" line item at checkout. Organizers net the full ticket price they set.
• Resale marketplace: 20% platform fee on the resale price, plus the organizer's royalty (default 5%).
• Payment processing: Stripe's standard processing fees (typically 2.9% + $0.30 in the US) apply and are not refundable.
• Pro subscription: $49/month for organizers, with optional add-on seats ($10/month individual or 5-pack at $35/month).
• Premium services: ID scanning, Milo AI, VIP tiers, and other Pro-gated features may require an active Pro subscription.

6. Refunds and cancellations

Ticket sales are final by default. Organizers may issue refunds from their dashboard up to 7 days after an event ends, after which promoter commissions have auto-settled and refunds are locked. If an event is cancelled, FUNC automatically initiates refunds. Full details are in our Refund Policy.

7. Resale marketplace

Resale is available only when enabled by the organizer. Resale prices may be capped by the organizer. FUNC automatically transfers ownership on sale and splits payout between seller, organizer, and FUNC. Resale purchases are final except when the event is cancelled.

8. Promoter program

Promoters earn commissions or reward tickets based on verified referred sales. Commissions auto-approve on payment and auto-pay 7 days after the event ends via Stripe Connect. Fraudulent referrals (self-purchases, bot traffic, incentivized fraud) will result in forfeiture, clawback, and account termination.

9. ID scanning and age-restricted events

Organizers may enable ID scanning for age-restricted events (18+ or 21+). Scanned ID data is parsed on-device where possible, used to verify age at the door, and is not retained on FUNC's servers beyond the check-in event log. By attending an age-restricted event you consent to age verification at the door.

10. Communications

By providing an email or phone number you consent to receive transactional messages related to your account, orders, and events (order confirmations, event reminders, ID scan and door updates, refund notices, and organizer messages). SMS messages are delivered through GoHighLevel. Message and data rates may apply. You can opt out of non-essential emails via the unsubscribe link in every message; transactional messages required to service your order cannot be disabled.

11. AI features (Milo)

Pro organizers may use Milo, an AI assistant that helps draft events, tiers, promoter programs, and messages. Milo proposes actions and requires your explicit approval before executing changes. You are responsible for reviewing Milo's output before publishing. Milo may use Lovable AI Gateway and third-party model providers to process your prompts.

12. Organizer obligations

Organizers must complete Stripe Connect onboarding before publishing paid events, deliver the event as advertised, comply with all applicable laws (consumer-protection, tax, licensing, alcohol, health-and-safety, accessibility), collect and remit any applicable taxes, and honor valid tickets at the door. 13. Acceptable use

You may not: use the Platform for unlawful, deceptive, harassing, hateful, or infringing events; scrape, reverse-engineer, or attempt to bypass access controls or dynamic QR security; submit false information; use automated tools to purchase tickets; resell above any cap set by the organizer or applicable law; upload malicious content; or misuse Milo to generate abusive, defamatory, or illegal content.

14. Intellectual property

FUNC branding, code, and Platform content remain the property of FUNC. Organizers retain ownership of the event content they upload and grant FUNC a worldwide, royalty-free license to host, display, and distribute that content as needed to operate the Platform and promote their events.

15. Third-party services

The Platform relies on third parties including Stripe (payments and Connect payouts), Supabase (hosting, database, storage, auth), Lovable AI Gateway (Milo), GoHighLevel (SMS relay), Google Maps (address autocomplete), and Resend or equivalent email delivery. Your use of these features is also subject to those providers' terms.

16. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FUNC DOES NOT WARRANT UNINTERRUPTED SERVICE, AND IS NOT RESPONSIBLE FOR THE CONDUCT, SAFETY, LEGALITY, QUALITY, OR OUTCOME OF ANY EVENT LISTED ON THE PLATFORM.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUNC'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO FUNC IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100. FUNC IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

18. Indemnification

You agree to indemnify and hold harmless FUNC, its officers, and employees from any claims, damages, or expenses arising out of your use of the Platform, your events, your content, or your violation of these Terms or applicable law.

19. Termination

We may suspend or terminate accounts that violate these Terms, present risk to buyers, or trigger excessive chargebacks. You may close your account at any time by emailing support; pending obligations (payouts, refunds, taxes) survive termination.

20. Dispute resolution and governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. You and FUNC agree to resolve any dispute first through good-faith negotiation, then through binding arbitration on an individual basis in Delaware under the rules of the American Arbitration Association, except that either party may bring a claim in small-claims court or seek injunctive relief for intellectual-property infringement. YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION.

21. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email or in-app notice. Continued use after the effective date constitutes acceptance.
